Service Specific Terms

These Service Specific Terms are incorporated into the agreement under which SDU eScience has agreed to provide its services (as described at https://legal.cloud.sdu.dk/terms/services) to Customer (the “Agreement”). If the Agreement authorizes the resale or supply of SDU eScience services under a partnership or reseller program, then all references to Customer in the Service Specific Terms mean Partner or Reseller (as applicable). Capitalized terms used but not defined in the Service Specific Terms have the meaning given to them in the Agreement.

General Service Terms

  1. Operations of Communications Services. Notwithstanding the telecommunications restrictions section of the Agreement (titled “Restrictions”), Customer may use the Services for hosting capacity in connection with Customer’s provision of telecommunications services to Customer End Users if (a) Customer obtains, maintains, and complies with all necessary regulatory licenses, registrations or other applicable requirements relating to such telecommunications services, and (b) Customer does not use or resell the Services to provide telecommunications connectivity, including for virtual private network services, network transport, or voice or data transmission.

  2. General Software Terms. The following terms apply to all Software:

a. License. SDU eScience grants Customer a royalty-free (unless otherwise stated by SDU eScience), non-exclusive, non-sublicensable, non-transferable license during the Term to reproduce and use the Software ordered by Customer on systems owned, operated, or managed by or on behalf of Customer in accordance with (i) the Agreement, and (ii) if applicable, the Scope of Use. Customer may authorize its and its Affiliates’ employees, agents, and subcontractors (collectively, “Software Users”) to use the Software in accordance with this section (License), so long as Customer remains responsible. Customer may make a reasonable number of copies of the Software for back-up and archival purposes. For clarity, Software does not constitute Services.

b. Documentation. SDU eScience may provide Documentation describing the appropriate operation of the Software, including a description of how Software is properly used, and whether and how the Software collects and processes data. Customer will comply with any restrictions in the Documentation regarding Software use.

c. Compliance With Scope of Use. Within 30 days of SDU eScience’s reasonable written request, Customer will provide a sufficiently detailed written report describing its usage in accordance with the applicable Scope of Use of each Software product used by Customer and its Software Users during the requested period. If requested, Customer will provide reasonable assistance and access to information to verify the accuracy of Customer’s Software usage report(s).

d. Other Warranties and Compliance. Each party represents and warrants that it will comply with all laws and regulations applicable to its provision or use of the Software, as applicable. Customer will: (i) ensure that Customer and its Software Users’ use of the Software complies with the Agreement and the restrictions in the Agreement applying to Customer’s use of the Services; (ii) use commercially reasonable efforts to prevent and terminate any unauthorized access to or use of the Software; and (iii) promptly notify SDU eScience of any unauthorized access to or use of the Software of which Customer becomes aware. If the Software contains open source or third-party components, those components may be subject to separate license agreements, which SDU eScience will provide to Customer. Customer is solely responsible for complying with the terms of any third-party sources from which Customer elects to migrate its workloads onto the Services, and represents and warrants that such third-party sources permit the use of Software to migrate applications away from such sources.

  1. Pre-GA Offerings Terms. SDU eScience may make available to Customer pre-general availability features, services and software, including those that are (a) not yet listed at https://legal.cloud.sdu.dk/terms/services or (b) identified as “Early Access,” “Alpha,” “Beta,” “Preview,” or a similar designation in related documentation or materials (collectively, “Pre-GA Offerings”). Customer’s use of Pre-GA Offerings is subject to the terms of the Agreement applicable to Services (or Software, if applicable), as amended by this Section 3.

Customer may provide feedback and suggestions about the Pre-GA Offerings to SDU eScience, and SDU eScience and its Affiliates may use any feedback or suggestions provided without restriction and without obligation to Customer.

PRE-GA OFFERINGS ARE PROVIDED “AS IS” WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS OF ANY KIND. Pre-GA Offerings (a) may be changed, suspended or discontinued at any time without prior notice to Customer and (b) are not covered by any SLA or SDU eScience indemnity. Except as otherwise expressly indicated in a written notice or the documentation for a given Pre-GA Offering, (i) Pre-GA Offerings may not be covered by TSS and (ii) the Data Processing and Security Terms do not apply to Pre-GA Offerings and Customer should not use Pre-GA Offerings to process personal data or other data subject to legal or regulatory compliance requirements. With respect to Pre-GA Offerings, to the maximum extent permitted by applicable law, neither SDU eScience nor its suppliers will be liable for any amounts in excess of the limitation on the amount of liability stated in the Agreement. Nothing in the preceding sentence will affect the remaining terms of the Agreement relating to liability (including any specific exclusions from any limitation of liability). Customer’s access to and use of any Pre-GA Offering is subject to any applicable Scope of Use. Either party may terminate Customer’s use of a Pre-GA Offering at any time with written notice to the other party. Certain Pre-GA Offerings may be subject to additional terms stated below.

  1. Additional Definitions. “Fees URL” means https://cloud.sdu.dk/app/skus or a successor URL. “Scope of Use” means any limits on installation or usage of Services or Software described at the Fees URL or otherwise presented by SDU eScience.

Service Terms

The following terms apply only to the Service(s) indicated in the section title.

Compute

  1. Sole-Tenant Nodes. Customer may select that SDU eScience provide the Instance on host hardware dedicated to a single Project. While no other SDU eScience customer instance will share that host hardware with Customer’s instances, SDU eScience’s virtualization software will reside on that host hardware and continue to manage Customer’s instances on that host hardware.

Networking

  1. Service connectivity. Network connectivity between the Customer and SDU eScience services is provided by the Danish Research Network “Forskningsnettet”. SDU eScience is not responsible for any aspects of network connectivity provided by Forskningsnettet or any issues arising outside of SDU eScience’s network.

AI

  1. Models, Prompts and Model Output. UCloud AI makes machine learning models available for inference (each, a “Model”). In these Service Specific Terms, “Prompt” means input submitted to a Model via the Service by Customer or a Customer End User, and “Model Output” means output generated by a Model in response to a Prompt. Prompts are Customer Data. Model Output is treated as Customer Data for all purposes of the Agreement, including the Data Processing and Security Terms.

  2. Model Catalogue. The Models made available through the Service are listed in the AI Model Catalogue at https://cloud.sdu.dk/app/inference/models (accessible to Customer under its Account) (the “Model Catalogue”), which identifies the provider of each Model. SDU eScience may update the Model Catalogue from time to time, including by adding, updating or removing Models, and will inform Customer of material changes in accordance with the Agreement.

  3. No Warranty as to Model Output. Model Output is generated probabilistically. It may be inaccurate, incomplete, offensive or misleading, may misdescribe its own basis, and may not be unique to Customer. SDU eScience does not review or verify Model Output and makes no representation as to its accuracy, its fitness for any purpose, or its freedom from third-party rights. Customer is responsible for evaluating Model Output before relying on it, and for any decision taken on the basis of it.

  4. Model Safeguards. A Model may include content filtering, refusal behaviour, output marking and other safety mitigations implemented by the provider of that Model (“Model Safeguards”). Model Safeguards are a characteristic of the Model and are not a commitment by SDU eScience. SDU eScience does not warrant that Model Safeguards will identify or prevent any particular Model Output, including Model Output that is unlawful, harmful, inaccurate or infringing, and does not warrant that they will refrain from withholding Model Output that is none of those things. Model Safeguards may change without notice when a Model version changes, and are not subject to the Deprecation Policy. The operation of Model Safeguards is automated, forms part of the generation of Model Output, and involves no review or assessment of Customer Data by SDU eScience for the purposes of Section 7.2.4 of the Data Processing and Security Terms or Section 0.7 of the Regulatory Compliance Annex.

  5. Service Safeguards. SDU eScience may apply filtering, system instructions, quotas or other controls of its own at the boundary of the Service (“Service Safeguards”). Section 6 applies to Service Safeguards as it applies to Model Safeguards, except that SDU eScience may add to or vary Service Safeguards where it reasonably considers this necessary to operate the Service securely, to comply with applicable law, or to give effect to the AUP. Service Safeguards operate only to restrict Model Output; they do not extend what a Model would otherwise produce.

  6. No Removal or Relaxation of Safeguards. SDU eScience will not remove, disable, relax or bypass the Model Safeguards of a Model made available through the Service, and will not make a Model available through the Service if its Model Safeguards have been removed, disabled or relaxed. This Section is an obligation of SDU eScience. It is not a representation as to what Model Safeguards or Service Safeguards will detect or prevent, which is addressed in Sections 6 and 7. Customer may not require SDU eScience to act otherwise than in accordance with this Section, and no Instruction under the Data Processing and Security Terms has that effect.

  7. Safeguard Refusals Are Not Downtime. Where a Model Safeguard or a Service Safeguard refuses, withholds, filters or modifies Model Output, the Service is operating as intended. That is not Downtime, an error, an incident, or a failure by SDU eScience to provide the Service, and gives rise to no Financial Credit or other remedy under the UCloud AI SLA or otherwise. A change to a Model, to a Model version, or to the behaviour of Model Safeguards is likewise not Downtime.

  8. Records of Safeguard Refusals. SDU eScience records events in which a Model Safeguard or a Service Safeguard refuses or withholds Model Output. The record includes the Prompt that gave rise to the refusal. SDU eScience creates and uses those records only in order to detect and investigate breaches of the AUP or of Section 3.3 (Restrictions) of the Terms of Service and to exercise its rights under Section 4 (Suspension) of the Terms of Service, and retains them for 90 days from the date of the refusal and for the duration of any investigation or Suspension arising from it, after which they are deleted. Access is restricted to the SDU eScience personnel responsible for security and abuse handling. That processing is described in Appendix 1 to the Data Processing and Security Terms and is permitted by Section 5.2.4(c) of those Terms. SDU eScience is under no obligation to review a record it has created, and does not otherwise monitor, review or retain Prompts or Model Output.

  9. Customer Obligations. Customer will not, and will not allow Customer End Users to, circumvent, disable, degrade or defeat a Model Safeguard or a Service Safeguard, or use Model Output to develop or train a model for that purpose. A Model may be subject to licence terms or an acceptable use policy of its provider, which SDU eScience will make available to Customer; Customer will comply with those terms in its use of the Service, and where those terms and the AUP differ, the more restrictive applies.

  10. AI Act. UCloud AI is an AI Service for the purposes of Section 4.8 of the Regulatory Compliance Annex. That Section applies to it and states the parties’ respective roles and obligations under the AI Act in respect of it, including SDU eScience’s role as provider of the AI system made available through the Service and the basis on which SDU eScience is not the provider of any Model made available through it.

Third-Party Terms

  1. Disclaimer. SDU eScience’s suppliers will have no liability arising out of or relating to the Agreement.
